These Terms of Service (these “Terms”) govern your access to and use of the Opyne platform, including our website, web application, and related services (collectively, the “Platform”), provided by Opine Analytics, Inc. (“Opyne,” “we,” “us,” or “our”).
By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.
The Platform is a blockchain-based software interface that may enable users to interact with certain smart-contract functionality deployed on the Solana blockchain, including functionality that may allow eligible users to:
The Platform includes both on-chain and off-chain components. Opyne currently operates the web application and certain related off-chain services. Although some functionality may be implemented through decentralized blockchain infrastructure or on-chain governance mechanisms, Opyne currently retains significant control over the Platform interface, development, deployment, maintenance, and related services. Opyne may in the future transition certain functions to community- or DAO-based governance, but any such transition is prospective only and is not guaranteed.
You may use the Platform only if you are legally able to enter into a binding contract with Opyne and are at least 18 years old or the age of majority in your jurisdiction, whichever is greater.
By using the Platform, you represent and warrant that:
We may limit or restrict access to the Platform or certain features in our discretion to comply with legal, regulatory, risk, or compliance obligations.
You may access certain Platform features using an embedded wallet or a third-party external wallet.
You are solely responsible for:
Opyne does not hold, recover, or reset private keys or seed phrases and cannot restore access to any wallet.
The Platform is intended to be non-custodial. Opyne does not take custody of user-controlled external wallets or private keys.
Digital assets used in connection with the Platform may be held in user-controlled wallets or in smart contracts on the Solana blockchain, and access to or disposition of such assets is governed by the applicable wallet software, your private keys, and on-chain program logic.
Except as expressly stated by Opyne in writing, Opyne does not independently initiate transfers from your wallet and does not act as your broker, custodian, escrow agent, trustee, fiduciary, agent, or financial intermediary.
The Platform may enable you to submit transactions to the Solana blockchain. Blockchain transactions are irreversible once confirmed and may not be cancellable.
If you use an external wallet, you are solely responsible for all blockchain network fees, including gas fees, priority fees, account rent, and other costs associated with your transactions.
If you use an embedded wallet, Opyne may, at its sole discretion, sponsor certain transaction fees. Opyne may change, limit, or discontinue any fee sponsorship at any time, with or without notice.
Any transfer of USDC or other digital assets through blockchain-based functionality is final once confirmed on the applicable network. Opyne is not responsible for losses arising from user error, wallet incompatibility, incorrect addresses, failed transactions, smart-contract behavior, third-party infrastructure failures, or network issues.
The Platform interacts with smart contracts, blockchain networks, wallets, and third-party infrastructure. You acknowledge and agree that use of these technologies involves substantial risk.
Without limiting the foregoing, you understand that:
Opyne may deploy updates, revised smart contracts, migrations, or changes to Platform functionality in its discretion. Your continued use of the Platform after any such change is at your own risk.
The Platform may permit users to create funded questions, contribute funds, participate in voting or response mechanisms, and engage in certain question-level governance processes.
If you create a question, you may be required to fund that question using USDC or another supported digital asset. The treatment of contributed or unspent funds, if any, will be governed by the applicable on-chain logic and any applicable governance rules.
Opyne does not guarantee that any question will be displayed or surfaced through the Platform interface, regardless of whether the question was created through the Platform or directly via on-chain interaction. Opyne retains sole discretion over which questions, if any, are displayed, indexed, or made accessible through the interface, and may decline to display any question for any reason, including but not limited to legal, regulatory, content, or operational considerations.
If you contribute funds to a question or related pool, those funds may be transferred to an on-chain vault, contract, or other blockchain-based mechanism. Any governance weight, eligibility, or participation rights associated with such contribution, if any, will be determined by the applicable on-chain logic and configuration.
Submitting a vote or response does not guarantee any reward, outcome, allocation, or governance result. Eligibility to participate in certain questions or features may depend on identity verification, attestations, self-reported information, geography, or other criteria determined by the Platform or applicable on-chain rules.
Users may become eligible for rewards, if any, based on question settings, governance outcomes, participation criteria, and on-chain logic. Opyne does not guarantee that any question will distribute rewards or that any user will receive any reward.
Participation in the Platform does not constitute and should not be understood as:
Certain Platform features may involve question-level or contract-level governance. Governance rights, if any, are limited to the specific features, contracts, or mechanisms for which they are made available.
Governance features do not provide any right to control Opyne, its corporate governance, its officers or directors, the Platform interface, or off-chain services, except to the extent expressly provided by applicable on-chain logic.
Governance outcomes may be determined by other users or participants acting in their own interests, which may not align with yours. Opyne is not responsible for governance outcomes and may be unable or unwilling to intervene in governance decisions, even where such outcomes adversely affect you.
You agree not to, and not to assist or enable others to:
We may investigate suspected violations of these Terms and may suspend, restrict, or terminate your access to the Platform or any feature at any time, with or without notice, where we believe such action is necessary for security, legal compliance, risk mitigation, or enforcement purposes.
You acknowledge and agree that your use of the Platform is entirely at your own risk.
You understand and voluntarily assume all risks arising out of or related to your use of the Platform, including risks associated with:
You further acknowledge that Opyne does not guarantee the availability, functionality, performance, legality, or continued operation of the Platform or any blockchain-based feature.
Nothing made available through the Platform constitutes financial, investment, legal, regulatory, accounting, or tax advice.
Opyne does not recommend that any digital asset, transaction, governance action, or participation decision is suitable for you. You are solely responsible for evaluating all risks and obtaining your own professional advice.
You are solely responsible for determining what taxes, if any, apply to your use of the Platform, including any creation, contribution, voting, reward, or other digital asset transaction. Opyne is not responsible for determining, collecting, reporting, withholding, or remitting taxes on your behalf, except to the extent required by applicable law.
Our collection, use, and disclosure of information is described in our Privacy Policy, which is incorporated into these Terms by reference.
By using the Platform, you acknowledge that certain information associated with wallet-connected and blockchain-based activity, including wallet addresses, transactions, attestations, and related blockchain records, may be publicly visible, immutable, and not capable of deletion.
Certain features may require identity verification, compliance screening, or other eligibility checks performed by third-party providers. Your use of such features may be subject to additional terms, notices, or privacy practices of those providers.
The Platform relies on or may integrate with third-party services, software, networks, and infrastructure, including wallets, blockchain networks, cloud providers, identity verification providers, analytics tools, and payment or on-ramp providers.
Your use of third-party services may be subject to separate terms, privacy policies, and fees imposed by those third parties. Opyne does not control and is not responsible for the availability, accuracy, security, legality, performance, or acts or omissions of any third-party service.
As between you and Opyne, Opyne and its licensors own all right, title, and interest in and to the Platform and all related content, software, technology, trademarks, logos, branding, and materials, excluding third-party software and open-source components and excluding blockchain-based assets or records that are not owned by Opyne.
Subject to your compliance with these Terms, Opyne grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Platform for its intended purposes.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
WITHOUT LIMITING THE FOREGOING, OPYNE DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
OPYNE DOES NOT WARRANT THAT THE PLATFORM WILL BE AVAILABLE, ACCURATE, COMPLETE, RELIABLE, SECURE, ERROR-FREE, OR UNINTERRUPTED, OR THAT DEFECTS WILL BE CORRECTED.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OPYNE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, OPPORTUNITY, GOODWILL, DATA, DIGITAL ASSETS, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
WITHOUT LIMITING THE FOREGOING, OPYNE SHALL NOT BE LIABLE FOR ANY DAMAGES, LOSS, OR INJURY ARISING FROM OR RELATING TO:

FOR THE AVOIDANCE OF DOUBT, AMOUNTS TRANSFERRED BY YOU IN ON-CHAIN TRANSACTIONS, INCLUDING QUESTION FUNDING OR CONTRIBUTIONS, ARE NOT FEES PAID TO OPYNE UNLESS EXPRESSLY IDENTIFIED BY OPYNE AS PLATFORM FEES.
You agree to defend, indemnify, and hold harmless Opyne and its officers, directors, employees, contractors, agents, affiliates, licensors, and service providers from and against any claims, actions, liabilities, damages, losses, judgments, awards, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:
We may suspend, restrict, or terminate your access to the Platform, in whole or in part, at any time and for any reason, including if we believe that:
Upon termination, your right to use the Platform will cease immediately. Any on-chain assets, records, governance positions, or smart-contract states will remain governed by applicable blockchain records and on-chain logic.
Sections that by their nature should survive termination will survive, including Sections 4, 6, 8, 10, 11, 12, 16, 17, 18, 19, and 21.
Opyne may modify, suspend, discontinue, or remove the Platform or any feature, content, or functionality at any time, with or without notice.
We may also modify these Terms from time to time. If we do, we will post the revised Terms and update the “Last Updated” date above. By continuing to access or use the Platform after the updated Terms become effective, you agree to be bound by the revised Terms.
These Terms and any dispute, claim, or controversy arising out of or relating to these Terms or the Platform will be governed by the laws of the State of Delaware, without regard to its conflict of laws principles.
Unless otherwise required by applicable law or expressly provided in a separate dispute resolution provision adopted by Opyne, any legal action or proceeding arising out of or relating to these Terms or the Platform shall be brought exclusively in the state or federal courts located in Delaware, and you and Opyne consent to the personal jurisdiction of those courts.
Any failure by Opyne to enforce any provision of these Terms will not constitute a waiver of that provision or any other provision.
If any provision of these Terms is held unlawful, unenforceable, or invalid, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.
You may not assign or transfer these Terms or any rights or obligations under these Terms without our prior written consent. Opyne may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of assets.
These Terms, together with the Privacy Policy and any other terms or policies expressly incorporated by reference, constitute the entire agreement between you and Opyne regarding the Platform and supersede all prior or contemporaneous understandings relating to the Platform.
Nothing in these Terms creates any partnership, joint venture, agency, employment, fiduciary, or similar relationship between you and Opyne.
Opyne will not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, internet or utility failures, blockchain failures, denial-of-service attacks, service-provider outages, or governmental actions.
